This document is a working draft prepared ahead of launch. It has not yet been reviewed or approved by qualified UK legal or compliance counsel, and must not be relied on as final, in-force terms. It will be replaced once that review is complete.
These Terms of Service ("Terms") govern access to and use of Subnalysis (the "Service"), operated by Subnalysis ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. What Subnalysis is
Subnalysis provides narrative macro and market analysis — commentary on why markets are behaving as they are, based on publicly available data and information. The Service describes market conditions and context; it does not display charts, price levels, entry points, or trade instructions of any kind, and it is not designed to tell you what to do with your money.
Subnalysis is not a trading platform, a broker, an exchange, or an investment adviser. See the separate Risk Disclosure for the full scope of what the Service is and is not.
2. Prototype and pre-launch status
The Service is currently in a pre-launch, invitation-only prototype phase, made available to a limited set of test accounts. Features, content formats, and account tiers described anywhere in the Service are subject to change without notice before public launch. Some directional or "bias" content shown in the prototype is a design placeholder pending final review by qualified UK compliance counsel, and must not be relied upon.
We may suspend, withdraw, or substantially change the Service at any time during this phase.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you confirm that you meet this requirement and that your use complies with the laws applicable to you, including any laws of the jurisdiction from which you access the Service.
4. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorised access.
Accounts are personal to you and may not be shared, transferred, or sold. We may suspend or terminate an account that we reasonably believe has been compromised, shared, or used in violation of these Terms.
5. Subscription tiers and billing
The Service is offered in multiple tiers (currently described as Free, Core, and Expert), each with different content and features. Paid billing is not yet active during the prototype phase; when it is introduced, pricing, billing frequency, and cancellation terms will be presented to you before any charge is made, and this section will be updated accordingly.
We reserve the right to change tier pricing and features on reasonable notice once paid billing is live.
6. Acceptable use
You agree not to:
Use the Service for any unlawful purpose or in a way that breaches any applicable law or regulation.
Attempt to gain unauthorised access to the Service, other accounts, or any systems or networks connected to the Service.
Scrape, harvest, or systematically extract content from the Service other than through features we provide for that purpose.
Reverse engineer, decompile, or attempt to derive the source code of the Service, except where applicable law expressly permits it.
Interfere with or disrupt the integrity or performance of the Service.
Redistribute, resell, or republish Service content to third parties without our prior written consent.
7. Intellectual property
The Service, including its analysis content, design, branding, and underlying software, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your own personal, non-commercial use, subject to these Terms.
Third-party data, headlines, and market data displayed within the Service remain the property of their respective owners and are used under licence or fair-use provisions as applicable.
8. Third-party content and data sources
The Service aggregates and synthesises information from third-party sources, including news wires, market data providers, and public economic releases. We do not control and are not responsible for the accuracy, completeness, or timeliness of third-party content, and its inclusion does not imply our endorsement.
9. No investment advice
Nothing in the Service constitutes investment, financial, legal, or tax advice, or a personal recommendation to buy, sell, or hold any financial instrument. The Service does not take into account your individual circumstances, financial situation, or investment objectives. See the Risk Disclosure for full detail. You should seek independent professional advice before making any financial decision.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including (to the extent permitted by law) implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content is accurate, complete, or current at the time you view it.
11. Limitation of liability
To the maximum extent permitted by law, we exclude all liability for any indirect, incidental, special, or consequential loss arising from or in connection with your use of the Service, including loss of profits, revenue, or data, and losses arising from investment or trading decisions made in reliance on Service content.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
12. Indemnity
You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service.
13. Termination
You may stop using the Service and close your account at any time via Account settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have breached these Terms or if we discontinue the Service.
Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.
14. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide reasonable notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising from these Terms or your use of the Service, subject to any mandatory consumer protections that apply in your country of residence.
